Document: Client Agreement Studio: CENTURI DESIGNS Version: June 2025
These are the general policies of CENTURI DESIGNS and apply to all clients, projects, and services unless otherwise agreed in writing. By engaging our services, placing a booking, or paying a deposit, you confirm that you have read and accepted these terms in full.
This agreement governs the working relationship between CENTURI DESIGNS ("the Studio") and any individual or business ("the Client") who commissions our services. These terms apply from the moment a booking is confirmed or a deposit is paid.

The Project

The scope, deliverables, timeline, and fees for the project will be outlined in the accompanying proposal or invoice. This agreement governs the working relationship for that project and any future projects unless a new agreement is issued.

Deposit and Payment

A non-refundable deposit is required before work begins. This secures your project slot and covers early-stage creative work. The remaining balance is due as outlined in your invoice. Final files will not be released until all outstanding payments are cleared.

Late payments may result in a pause in work and a late fee of 5% per week on any outstanding balance.

Project Process

The Studio will present work at agreed stages for Client review and feedback. The Client agrees to:

  • Provide clear, consolidated feedback within the agreed timeframe
  • Supply all required content, assets, and information promptly
  • Nominate a single point of contact for the project where applicable
  • Provide written approval before the Studio proceeds to the next stage

Revisions

The number of revision rounds included is stated in the project proposal. Revisions must fall within the original agreed brief. Changes that alter the project scope, direction, or brief may be quoted as additional work. Unused revision rounds do not carry over.

Timeline

The Studio will work to the agreed project timeline. Delays caused by late feedback, missing content, or extended periods of Client non-response will extend the timeline accordingly. The Studio is not liable for delays caused by the Client.

Projects inactive for 30 or more days due to Client non-response may be archived. Reactivation requires a new booking and deposit.

Intellectual Property

All work produced by CENTURI DESIGNS remains the property of the Studio until final payment is received in full. Upon full payment, ownership of the agreed final deliverables transfers to the Client for commercial use.

Unused concepts, working files, and rejected directions remain the property of the Studio. The Studio retains the right to display completed work in its portfolio and marketing materials unless a written NDA is in place.

Client Warranties

The Client warrants that:

  • They have the authority to enter into this agreement
  • Any materials, images, or content supplied to the Studio are owned by or licensed to the Client
  • The use of supplied materials does not infringe the rights of any third party

The Client accepts full liability for any legal issues arising from content they have supplied.

Confidentiality

Both parties agree to keep the other's confidential business information private. If the Client requires a formal NDA before sharing sensitive information, this must be requested and agreed in writing before the project commences.

Client Conduct

Zero Tolerance Policy

CENTURI DESIGNS operates a strict zero tolerance policy toward any form of disrespectful, abusive, or harmful behaviour. The following will result in immediate termination of the project or working relationship, with no warning, no refund, and no exceptions.

  • Verbal abuse, harassment, or threatening language directed at any member of the Studio, whether via email, messaging, phone, or social media
  • Discriminatory, racist, sexist, or otherwise offensive communication of any kind
  • Persistent disrespect, hostility, or attempts to belittle or intimidate
  • Deliberate misrepresentation of agreed terms, project scope, or prior communications
  • Fraudulent payment activity including chargebacks raised in bad faith
  • Public defamation or the sharing of false, misleading, or damaging statements about CENTURI DESIGNS or its team on any platform
  • Any attempt to use deliverables, files, or partially completed work without authorisation before full payment has been received

Upon termination under this policy, all access to files, drafts, and deliverables will be revoked immediately. Any outstanding balances remain payable in full. CENTURI DESIGNS reserves the right to pursue further action where appropriate.

We are proud to work with ambitious, respectful clients and we hold ourselves to the same standard. This policy exists to protect everyone involved.

Governing Law

This agreement is governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
